Terms of Service

Acceptance of Terms

By accessing or using the Metacodebox website, services, or engaging with us as a client, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and Metacodebox. We reserve the right to modify these Terms at any time, and your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Services

Metacodebox provides technology and product engineering services, including but not limited to:

  • Software Development: Custom web applications, mobile apps, and software solutions
  • Retainer Services: Ongoing engineering support, maintenance, and development on a retainer basis
  • Consulting & Technical Support: Technical advisory, architecture guidance, and strategic consulting
  • Design & Engineering Services: UI/UX design, product engineering, and full-stack development

The specific scope, deliverables, timeline, and pricing for each engagement are defined in written proposals, statements of work, or service agreements ("Project Agreements"). These Terms apply to all services unless explicitly modified by a Project Agreement.

Client Responsibilities

As a client, you agree to:

  • Provide Accurate Information: Furnish accurate, complete, and timely information necessary for project execution
  • Timely Response: Respond to requests, feedback, and approvals in a timely manner to avoid project delays
  • Proper Use: Use our services only for lawful purposes and in accordance with these Terms
  • Respect Intellectual Property: Respect our intellectual property rights and those of third parties
  • Payment Obligations: Make payments as agreed in Project Agreements
  • Compliance: Ensure that any materials, content, or data you provide do not infringe on third-party rights or violate applicable laws

Payments & Fees

Pricing: All pricing for services is defined in Project Agreements, proposals, or retainer agreements. Prices are quoted in the currency specified in the agreement.

Payment Terms: Payment terms, including due dates, milestones, and methods, are specified in each Project Agreement. Payments are due as agreed, and late payments may incur interest charges as specified in the agreement.

Work Suspension: If payment is overdue, we reserve the right to suspend work until payment is received. Suspension of work does not relieve you of payment obligations.

Refunds: Refund policies are specified in individual Project Agreements. Generally, payments for completed work are non-refundable, while payments for future work may be refundable subject to the terms of the agreement.

Intellectual Property

Client Ownership

Upon full payment of all fees, you own the final deliverables created specifically for your project as defined in the Project Agreement. This includes custom code, designs, and documentation developed exclusively for your project.

Metacodebox Retained Rights

Metacodebox retains ownership of:

  • Internal tools, frameworks, and reusable components developed by Metacodebox
  • Pre-existing code, libraries, and methodologies used in projects
  • Know-how, expertise, and general methodologies
  • Any work product not specifically identified as a deliverable in the Project Agreement

Third-Party Components

Projects may incorporate third-party open-source software, libraries, or components subject to their respective licenses. You are responsible for compliance with such licenses.

Confidentiality

Both parties agree to maintain confidentiality of proprietary and confidential information shared during the course of our engagement. This includes:

  • Business plans, strategies, and proprietary information
  • Technical specifications, code, and documentation
  • Financial information and pricing
  • Any information marked as confidential or reasonably understood to be confidential

NDAs: When a separate Non-Disclosure Agreement (NDA) is in place, its terms override these general confidentiality provisions. NDAs take precedence for client project data and sensitive information.

Confidentiality obligations survive termination of services and continue indefinitely, except for information that becomes publicly available through no breach of these Terms.

Limitation of Liability

Services Provided "As Is": Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the services, except as explicitly stated in Project Agreements.

No Consequential Damages: To the maximum extent permitted by law, Metacodebox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Liability Cap: Where permitted by law, our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you to Metacodebox for the specific project or service giving rise to the claim in the twelve (12) months preceding the claim.

Exceptions: Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Termination

Termination by Either Party: Either party may terminate a service engagement with written notice, subject to the terms specified in the Project Agreement. Notice requirements and termination procedures are defined in individual agreements.

Outstanding Obligations: Termination does not relieve either party of obligations accrued prior to termination, including payment for work completed and expenses incurred.

Work Suspension: Upon termination, work will be suspended, and we will provide a summary of completed work and any deliverables ready for handover, subject to payment of outstanding fees.

Survival: Provisions regarding intellectual property, confidentiality, limitation of liability, and payment obligations survive termination of services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India, unless otherwise specified in a Project Agreement.

In the event of any dispute, the parties agree to attempt to resolve the matter through good faith negotiation before pursuing formal legal action.

Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. We may also notify you of significant changes via email or through our website.

Your continued use of our website or services after modifications are posted constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of our services.

Project Agreements may contain terms that differ from these general Terms. In case of conflict, the terms of the Project Agreement shall prevail for that specific engagement.
